What to consider when entering a joint venture

Joint ventures are a great way to start a business, as you’re combining resources, expertise and risk.

However, there are several important considerations to consider when entering a joint venture. 

The joint venture agreement should cover every aspect of the business, including who is responsible for what, who owns any intellectual property, what is the process for resolving disputes, and what is the process for ending the joint venture. 

Don’t forget to include provisions in the agreement for accounting, tax, and insurance. 

The top five considerations as part of a joint venture are:

  1. Clearly defined roles and responsibilities. Who is responsible for every aspect of the project or business? Who is taking care of management, marketing, and finances?
  2. Intellectual property. This includes any patents, copyrights or trademarks.
  3. Dispute resolution. It’s vital there’s a clear process for resolving issues, including mediation. You don’t want to end up in a costly litigation.
  4. Confidentiality. What kind of provisions are in place for sensitive information, or trade secrets? 
  5. Future planning. Don’t forget to plan for any changes to the joint venture agreement, including changes to parties involved or the business environment.

It’s also important to do some due diligence on your partners, decide on the structure of the joint agreement, and have a defined exit strategy in place just in case things go wrong.

Having a clear, open discussion at the start of the joint venture can alleviate any stress and maximise your chances of success.
