Mergers and acquisitions – what do lawyers do?

Choosing to buy, sell, acquire, or merge a business is a big financial decision, and it comes with a lot of responsibility.

It’s important to have an experienced business and commercial lawyer to help you through the process. But what exactly does a solicitor do during the merger and acquisition process?

  1. Due diligence – your lawyer will examine the company’s legal, financial, and operational features to identify any risks. They will review contracts, permits, intellectual property matters, and if there’s been any history of litigation.
  2. Negotiation – your lawyer will give you advice on the terms of any deals, finance options and of course, legal considerations. They will also negotiate the purchase price, and any provisions in the contract.
  3. Drafting documents – you will need a lawyer to draft all the legal documents involved in a merger and acquisition. This includes, agreements, contracts, confidentiality agreements, and any terms negotiated between everyone involved. They will make sure the documents minimise any future potential disputes.
  4. Compliance – ensuring you comply with regulatory framework is essential, and your commercial lawyer will make sure the transaction meets antitrust, competition, securities, and other regulatory requirements.
  5. Risk assessment – what are the legal risks associated with this merger and acquisition? If there are any, your lawyer will be able to bring them to your attention and develop strategies to mitigate those risks.

Even if you’re only just starting to think about buying, selling, or merging, it’s never too early to speak to a commercial lawyer. Starting the process early can ensure you are prepared, and you can make any changes you need to before the official process starts.
